4. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information.

  • Supply necessary content, images, logos, credentials, and materials required for project completion.

  • Respond promptly to communication and approval requests.

  • Ensure that all materials provided do not violate any intellectual property rights or applicable laws.

  • Cooperate with the Company throughout the duration of the project.

Delays in providing information or approvals may result in project delays.

5. Pricing and Payment Terms

5.1 Fees

All service fees shall be communicated through official quotations, proposals, invoices, or signed agreements.

5.2 Payment

  • Payments must be made according to the payment schedule agreed upon.

  • Projects may require an advance payment before work begins.

  • Monthly retainers must be paid on or before the agreed due date.

5.3 Late Payments

The Company reserves the right to:

  • Suspend services until payment is received.

  • Delay project delivery.

  • Charge applicable late payment fees where legally permitted.

5.4 Taxes

All fees are exclusive of applicable taxes, including GST, unless otherwise specified.

6. No Guarantee of Results

Digital marketing outcomes depend on numerous factors beyond our control.

Accordingly:

  • We do not guarantee first-page Google rankings.

  • We do not guarantee specific traffic increases.

  • We do not guarantee lead generation numbers.

  • We do not guarantee sales growth or revenue increases.

  • We do not guarantee approval of advertisements by third-party advertising platforms.

Past performance is not indicative of future results.

7. Third-Party Platforms

Our services may involve third-party platforms including:

  • Google

  • Meta (Facebook and Instagram)

  • LinkedIn

  • YouTube

  • WhatsApp

  • X (Twitter)

  • Other advertising and marketing platforms

The Company is not responsible for:

  • Policy changes by third-party platforms

  • Platform outages

  • Account suspensions

  • Advertisement rejections

  • Algorithm updates affecting campaign performance

Advertising spend paid to third-party platforms is separate from our service fees unless expressly stated otherwise.

8. Intellectual Property Rights

Client-Owned Materials

All trademarks, logos, content, and intellectual property provided by the Client remain the property of the Client.

Company-Owned Materials

The Company retains ownership of:

  • Marketing methodologies

  • Reporting templates

  • Internal tools

  • Proprietary processes

  • Marketing strategies

  • Software and automation systems

Project Deliverables

Upon full payment, ownership of final approved deliverables created specifically for the Client may transfer to the Client unless otherwise agreed in writing.

9. Confidentiality

Both parties agree to keep confidential all non-public information shared during the business relationship.

Confidential information shall not be disclosed to any third party without prior written consent except when required by law.

10. Prohibited Activities

Users and clients must not:

  • Use our services for unlawful purposes.

  • Engage in fraudulent marketing practices.

  • Post or distribute harmful, offensive, defamatory, or misleading content.

  • Attempt unauthorized access to our systems.

  • Infringe upon intellectual property rights.

The Company reserves the right to terminate services immediately for violations of this section.

11. Website Usage

Users agree not to:

  • Interfere with website operations.

  • Introduce viruses or malicious software.

  • Attempt to gain unauthorized access to website systems.

  • Copy, reproduce, or redistribute website content without written permission.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

Arunasp Digital Private Limited shall not be liable for:

  • Indirect damages

  • Special damages

  • Incidental damages

  • Consequential damages

  • Loss of profits

  • Loss of business opportunities

  • Loss of data

Our maximum liability for any claim shall not exceed the amount paid by the Client to the Company for the services directly related to the claim during the preceding three (3) months.

13. Indemnification

The Client agrees to indemnify and hold harmless Arunasp Digital Private Limited, its directors, employees, partners, and affiliates from any claims, damages, liabilities, losses, costs, or expenses arising out of:

  • Client-provided content

  • Violation of laws

  • Intellectual property infringement

  • Misleading business practices

  • Breach of these Terms

14. Termination

Either party may terminate a service agreement with written notice, subject to any notice requirements specified in the applicable agreement.

Upon termination:

  • Outstanding payments become immediately due.

  • Ongoing work may cease.

  • Services may be suspended.

  • Completed work shall remain payable.

15. Refund Policy

Except where otherwise agreed in writing:

  • Service fees are non-refundable.

  • Advance payments are non-refundable.

  • Fees paid for completed work are non-refundable.

  • Advertising budgets paid to third-party platforms are non-refundable.

Refund requests, if any, shall be considered solely at the Company's discretion.

16. Force Majeure

The Company shall not be held responsible for delays or failures resulting from circumstances beyond its reasonable control, including:

  • Natural disasters

  • Internet failures

  • Government actions

  • Cyberattacks

  • Power outages

  • Pandemic-related disruptions

  • Third-party service interruptions

17. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and interpreted under the laws of India.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.

18. Changes to Terms

Arunasp Digital Private Limited reserves the right to modify these Terms and Conditions at any time.

Updated versions shall be published on our website and become effective immediately upon publication.
